End User License Agreement

This agreement describes how you may use Koi Editor.

By installing or using Koi Editor, you agree to these terms.

The basic terms

Koi Editor is licensed, not sold.

Hackerman, Inc. gives you permission to install and use Koi Editor under the terms below. You retain ownership of your files, projects, and other content.

Non-commercial use

You may use Koi Editor without payment for personal, educational, hobby, research, evaluation, and other non-commercial purposes.

Commercial use

You need a paid license to use Koi Editor for commercial or professional work.

Commercial use includes:

• using Koi Editor for your job or business
• paid freelance, consulting, contracting, or client work
• work performed for a company, government body, school, nonprofit, or other organization
• building, maintaining, or supporting commercial products or services
• other professional or revenue-generating work

Personal licenses

A Personal License belongs to one person.

The licensed person may install and use Koi Editor on multiple computers, including for commercial work.

A Personal License may not be shared with another person.

Team and business licenses

A team or business must purchase enough seats for the number of people using Koi Editor commercially.

Each seat belongs to one user. That user may use Koi Editor on multiple computers, but seats may not be shared unless we agree otherwise in writing.

License files

License keys, license files, and other license credentials may only be used within the scope of the license you purchased.

You may keep reasonable backup copies, but you may not publish, sell, transfer, or share them with people who are not covered by your license.

What you may not do

You may not:

• use Koi Editor commercially without the required license
• share a single-user license with multiple people
• redistribute or sell Koi Editor or its installer without our permission
• remove copyright, trademark, or ownership notices
• bypass or interfere with license verification or other technical protections
• use Koi Editor in violation of applicable law

Nothing in this agreement limits rights that applicable law gives you independently, including any rights that cannot legally be waived.

Ownership

Hackerman, Inc. and its licensors retain ownership of Koi Editor, its code, branding, and other intellectual property.

This agreement gives you permission to use the software. It does not transfer ownership of the software to you.

Updates and support

We may provide updates, fixes, new versions, or support, but we do not promise that any particular update, feature, service, or level of support will remain available indefinitely.

Unless separate terms apply, updates we provide are covered by this agreement.

Ending this agreement

You may stop using Koi Editor at any time.

Your license rights end if you materially violate this agreement. They may also be suspended or terminated if a license was obtained fraudulently, redistributed, or used beyond its purchased scope.

If your license rights end, you must stop using Koi Editor commercially under that license and stop using the affected license credentials.

No warranty

To the maximum extent permitted by law, Koi Editor is provided "as is" and without warranties.

We do not guarantee that it will always be available, uninterrupted, error-free, compatible with every system, or suitable for every purpose.

Some jurisdictions provide warranties or consumer rights that cannot be excluded. This section does not limit those rights.

Limitation of liability

To the maximum extent permitted by law, Hackerman, Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, or data arising from your use of Koi Editor.

Our total liability relating to Koi Editor or this agreement will not exceed the greater of:

• the amount you paid us for Koi Editor during the 12 months before the claim arose; or
• US$50

These limitations do not apply where applicable law does not allow them.

Export laws

You may not export, re-export, transfer, or use Koi Editor in violation of applicable export-control or sanctions laws.

Governing law

This agreement is governed by the laws of the State of Delaware, excluding its conflict-of-law rules.

Any dispute relating to this agreement or Koi Editor must be brought in a state or federal court located in Delaware, unless applicable law gives you the right to bring it elsewhere.

Other terms

This agreement is the complete agreement between you and Hackerman, Inc. concerning Koi Editor, unless a separate written agreement or order form applies to your license.

If one part of this agreement cannot be enforced, the remaining parts will continue to apply.
